Terms & Conditions

The terms that govern the AgencyFulfill website and the framework for our white-label fulfillment partnerships with marketing agencies.

Last updated: [Effective Date — to be confirmed]

Draft for review. This policy is a working draft prepared for the AgencyFulfill website. The final wording, timeframes and jurisdiction references should be reviewed and confirmed by the business owner or legal counsel before publication.

These Terms & Conditions govern your use of the AgencyFulfill website and describe the general framework under which AgencyFulfill provides white-label marketing fulfillment services to agency partners. By using this website you agree to these terms. By becoming an agency partner you also agree to the terms of the signed partnership agreement, which prevails over this page for the services it covers.

You may use this website for lawful purposes only — to learn about our services, contact us, and evaluate a potential partnership. You agree not to misuse the website, attempt to gain unauthorised access, submit false or automated enquiries, scrape content, or introduce malicious code. We may update, suspend or withdraw any part of the website at any time.

AgencyFulfill provides white-label marketing fulfillment for digital marketing agencies, including Meta Ads management, Google Ads management, creative production, campaign management and account management. The exact scope, deliverables, timelines and communication arrangements for any partner are defined in the signed partnership agreement.

Our services are delivered behind the scenes, under the agency partner's brand. The agency partner owns the end-client relationship, presents deliverables in its own name, and decides how our work is communicated. We do not market ourselves to the partner's end clients and do not solicit the partner's clients for direct engagements.

Agency partners are responsible for:

  • Managing the end-client relationship, contracts and expectations.
  • Providing accurate business, brand and campaign information.
  • Securing the necessary permissions and approvals from their end clients.
  • Reviewing and approving strategies, creatives and campaigns in agreed timeframes.
  • Ensuring end-client advertising content complies with applicable laws and platform policies.

The agency partner or its end client retains ownership of all advertising accounts, including Meta and Google Ads accounts, billing relationships and associated assets. We operate through authorised, delegated access and never require partners to transfer account ownership or share personal account passwords.

All end-client data — including customer data, conversion data, analytics properties and reporting history — remains the property of the agency partner or its end client. We use such data only to deliver the agreed services and treat it as confidential.

Partners grant us the minimum access necessary to perform the services, using the official partner/partner-agency access mechanisms provided by each platform. Access is granted and revoked in line with the onboarding and handover process. We do not use granted access for any purpose outside the agreed services.

Our standard fulfillment fee is $750 per active end-client account per month. This fee covers the fulfillment services described on our pricing section; it is separate from advertising budgets, which are paid by the partner or end client directly to the advertising platforms. Items such as extensive video production, landing page development and major technical implementations are scoped and billed separately.

Invoicing frequency, payment terms and applicable notice period are specified in the signed partnership agreement [payment terms — to be confirmed].

Meta, Google and other advertising platforms are independent third parties whose policies, availability, pricing and algorithms may change at any time. We manage campaigns within those platforms' rules but are not responsible for platform-side changes, suspensions, or actions taken by the platforms.

Upon payment of the applicable fees, deliverables produced for the partner — such as ad creatives, copy and reports — may be used by the partner and its end clients for the intended campaign purposes. We retain the right to reuse general know-how, processes and non-client-specific expertise developed during delivery. Pre-existing tools, templates and systems remain our property.

Each party protects the other's confidential information — including business data, pricing, strategies and end-client information — and uses it only to perform and receive the services. This obligation continues after the partnership ends. Detailed confidentiality terms are set out in the signed partnership agreement.

Marketing and advertising outcomes depend on many factors outside our control, including budgets, market conditions, competition, platform behaviour and the end client's offer. We commit to professional, diligent execution — not to specific lead volumes, conversion rates, return on ad spend or revenue outcomes. Any targets discussed are estimates, not guarantees.

To the maximum extent permitted by law, AgencyFulfill is not liable for indirect or consequential losses, including lost profits or lost opportunities, arising from the services. Where liability cannot be excluded, it is limited, in aggregate, to the fees paid for the service period in which the claim arose. Nothing in these terms limits liability that cannot lawfully be limited.

Either party may end the partnership as described in the signed partnership agreement, subject to the agreed notice period [notice period — to be confirmed]. Upon termination we follow the handover process described below.

When a partnership ends, accounts and assets remain with the agency partner and its end clients. We coordinate the transition, provide the agreed documentation, and revoke our access in a controlled manner. Outstanding billing matters are resolved according to the signed agreement.

These website terms and any partnership are governed by the governing law and jurisdiction stated in the signed partnership agreement [governing law and jurisdiction — to be confirmed]. The governing jurisdiction will be confirmed here once finalised.
